Terms of Service

These terms are provided for transparency about how Fromptly operates today. They have not yet been reviewed by qualified legal counsel — treat them as a good-faith draft, not a final legal instrument, until that review is complete.

1. Agreement to Terms

By installing or using the Fromptly browser extension (“Service”), you agree to these Terms of Service. If you don’t agree, don’t use the Service.

2. Description of Service

Fromptly is a browser extension that helps optimize text prompts for use with third-party AI providers (such as OpenAI, Anthropic, or Google). We do not operate or control those AI providers — your use of them is subject to their own terms.

3. Accounts

• You may use core optimization features without an account.
• Creating an account (for cloud sync, prompt library, and subscription features) requires a valid email address or OAuth sign-in.
• You are responsible for maintaining the confidentiality of your account and any API keys you configure.

4. Subscriptions & Billing

• Fromptly offers a Free plan and paid plans (Pro, Creator, Team, Enterprise) with different feature limits, described in-app.
• Paid plans are billed through Stripe on a recurring monthly or annual basis, plus applicable tax.
• Paid-plan checkouts include a 7-day free trial; cancel anytime before it ends to avoid being charged.
• Manage or cancel your subscription anytime via Settings → Subscription → “Manage billing.” Cancellation takes effect at the end of the current billing period unless stated otherwise at checkout.
• Refunds are considered within 14 days of a new subscription at our discretion — contact support@fromptly.dev.
• We’ll notify you in advance of any price increase affecting your active subscription.

5. Acceptable Use

You agree not to:

• Use the Service to generate content that is illegal, harmful, or violates a third-party AI provider’s own usage policies
• Attempt to reverse-engineer, decompile, or circumvent the Service’s security or rate-limiting protections
• Use the Service to process another person’s sensitive personal data without their consent
• Resell, sublicense, or provide the Service to third parties without our written consent

6. Your Content

You retain all ownership rights to the prompts and content you submit through Fromptly. We do not claim any ownership over your content and do not use it to train AI models. See our Privacy Policy for how your content is handled.

7. Third-Party AI Providers

When you optimize a prompt, the text is sent directly to the AI provider you’ve configured, using your own API key/account. We are not responsible for that provider’s outputs, availability, pricing, or terms. You are responsible for complying with your chosen provider’s usage policies and for any costs you incur with them.

8. Intellectual Property

Fromptly, its logo, and its underlying software are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding beyond what’s necessary to use the Service as intended.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT PROMPT “OPTIMIZATION” WILL PRODUCE ANY PARTICULAR RESULT OR IMPROVEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR ANY THIRD-PARTY AI PROVIDER YOU CONNECT TO IT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR $50 IF YOU’VE NEVER PAID US ANYTHING).

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service and delete your account at any time.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after a change constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Fromptly is incorporated, without regard to conflict of laws principles.
